Terms & Conditions
These terms govern your use of the Hagog International website and its online ordering service. The service is for businesses only — shops, chains and distributors — and is not intended for private consumers. Using the site, opening an account or submitting an order means you accept these terms.
1. Who we are
Hagog International Ltd., company no. 511437386, of Baqa al-Gharbiyye (P.O.B 168, 30100), is an importer and wholesaler of children's riding equipment: bicycles, scooters, ride-ons, tractors and go-karts, helmets and spare parts. Telephone 04-6383380, email office@hagog.co.il.
In these terms "we" means Hagog International, and "you" means the business registered with us as a customer and every user acting on its behalf.
2. A business-only service
The site shows a wholesale catalogue and takes orders from businesses only. To open an account you must be a registered company or a licensed dealer, and you must give us your company or tax number. We do not sell to private consumers and there is no consumer sale on this site.
Visitors who are not signed in see the catalogue without prices. Prices appear only after sign-in, and only according to what your account is permitted to see.
3. Opening an account and approval
You apply for an account through the request-access form or the contact form on the site. The application is recorded as an enquiry and passed to a sales representative — it does not open an account and does not give access to prices.
Approving an account is at our sole discretion. We may approve, refuse, or ask for further documents (a dealer certificate, a business licence, accounting details), and we are not obliged to give reasons for a refusal.
Before full approval, a representative may give you a temporary browsing seat: you can view the catalogue, see base prices and build a list, but you cannot submit an order. That restriction is enforced both in the server and in the database.
When your account is approved we send you a personal joining link by email or WhatsApp. The link is valid for seven days and is single-use — it stops working the moment it has been used once.
A company account can have several users. An order submitted by one user is visible to all users of the account, and your manager seat can maintain the delivery addresses and see the account's users.
We may suspend, deactivate or archive an account or a user — for example for breach of these terms, suspected misuse, or the end of the commercial relationship. Order history is kept even after archiving.
4. Signing in and account security
Sign-in is passwordless: you enter an email address or a phone number and receive a one-time code by email or WhatsApp. The code is valid for ten minutes, is voided after five wrong attempts, and up to three codes may be requested per identifier in any fifteen minutes.
The one-time code and the joining link are the key to your account — including to the prices agreed for you. Do not pass them to anyone, and note that we never ask you for a code by phone or message.
You are responsible for everything done from your account. If you suspect unauthorised use, tell us immediately on 04-6383380 or at office@hagog.co.il and we will revoke the active sign-ins.
For security, the number of simultaneously signed-in devices is limited: up to three devices per user, and across the company account up to three devices for each active user. An additional sign-in automatically disconnects the device that has been idle longest. The account is for your business and its staff only and must not be shared with another business.
5. Prices
The price you see follows your account, in this order: a personal contract price for the product if one has been set for you; otherwise the discount tier set for your account (including a tier that applies to one category only); otherwise the catalogue base price.
Prices are shown per single unit, including for products sold by the carton. A carton price is the unit price multiplied by the number of units in the carton.
Prices on the site include VAT at the statutory rate (18% at the time these terms were updated). The display switch that hides VAT changes only how the figure is shown on screen — it does not change the amount recorded on the order or the invoice.
Prices on the site are indicative and are not a binding offer, and we may update them at any time. The binding price is the one locked onto your order at the moment you submit it, subject to our confirmation of the order as set out below.
Where the site carries a price or description error that is obvious on its face, we may correct it and refuse to confirm an order that relied on it.
6. Confidentiality of prices
The prices shown to your account — contract prices, tier discounts and dedicated price lists — are confidential business information. You may not publish them, pass them to competitors, or show them to any third party other than your own staff who need them for their work.
7. Basket, cartons and quantities
Your basket is stored on our server rather than in your browser, so you can build an order over several days and from different devices. Adding an item to the basket does not reserve stock and does not fix a price.
Some products are sold only by the sealed carton: their quantity moves in whole cartons, single units cannot be ordered, and the site blocks this at the point of adding to the basket. Other products can be ordered either by the full carton or as loose units.
Where a carton has a fixed colour composition, the split between colours is set by us and shown to you when you add it. A "mixed colours" line is a picking instruction (which colours not to send) and not a separate product.
The system does not enforce a minimum order quantity or a minimum order value. [[NEEDS OWNER: is there a minimum order value or minimum order quantity, and what is it?]]
8. An order is an offer — confirmation is ours
Submitting an order on the site does not create a contract. The order is recorded as "submitted" and is your offer to buy. The contract is formed only when we confirm the order in our system, and we may refuse an order or part of it.
As soon as you submit, we send you an acknowledgement listing the lines and the amount. It records what reached us; it is not confirmation of the order.
Line prices are locked at the moment of submission and are kept as part of the order. The availability badge in the catalogue is indicative only; a product marked out of stock cannot be ordered, and such a line blocks submission until you remove it.
A "requested delivery date" is a request and not an undertaking by us, and the same goes for free-text notes on the order — they bind us only if we have confirmed them.
If you mark a line for assembly, a per-unit assembly charge applies at the rate set for your account. The rate is shown in the basket and is stored on the order as it stood when you submitted.
9. Changes we make to an order
Until the order goes to picking we may amend it: change quantities, remove a line, correct a line price, or add an order-level discount. Every amendment is recorded in the order history, and you receive a notice and an updated priced receipt.
A locked line price does not change by itself. Changing a line price by hand is reserved to our management; a sales representative may only pass a reduction on to you, or ask on your behalf for a special price that we decide on.
[[NEEDS OWNER: if a line price is revised upward after the order was submitted, does the customer have the right to cancel the order because of it, and within what period?]]
If a product's base price has risen by more than 15% since the order was submitted and further units are added to it, those extra units open as a new line at today's price while the original line keeps its locked price. You may therefore see the same product twice on one order at two prices — this is deliberate, and the line is marked and explained on every screen and on the printout.
If a product's price has fallen since the order was submitted, we may pass that reduction on to the line up to the confirmation stage. We are not obliged to, and a reduction never turns into an increase.
Once an order has moved to picking or shipping it can no longer be edited in the system.
10. Cancellation
You can cancel an order yourself on the site while it is still "submitted" — that is, before it has entered review with us. After that the cancel option is no longer available to you in the system.
[[NEEDS OWNER: can an order be cancelled after it has entered review or been confirmed, on what conditions, and is a cancellation fee charged?]]
We may cancel or refuse an order before shipping — for example for lack of stock, an outstanding debt, or a price error. A cancellation or refusal by us carries a written reason recorded in the order history, and you are notified of it.
11. Payment and invoicing
No payment is taken on the site. The site neither collects nor stores card details, and no card clearing is carried out through it.
The official tax invoice and receipt are issued in our accounting system, separately from the site. The order documents you can print from the site are working documents and are not tax documents.
[[NEEDS OWNER: what are the payment terms (for example net + X days) and which payment methods are accepted — cash, cheques, bank transfer, card?]]
[[NEEDS OWNER: is a credit limit granted to a customer, and what happens on late payment — interest, supply put on hold, account closed?]]
12. Delivery
Deliveries are made to the addresses approved for your account. Your manager seat maintains the address list, and by choosing an address on an order you confirm that it is a valid delivery point.
[[NEEDS OWNER: what are the delivery times, who carries out the transport, what is the delivery charge or the free-delivery threshold, and at what point do ownership and risk in the goods pass to the customer?]]
Check the delivery when you receive it and confirm it matches the delivery note. [[NEEDS OWNER: within how many days of receipt must a shortage, an over-supply or transit damage be reported?]]
13. Returns, warranty and defects
[[NEEDS OWNER: what is the returns and warranty policy — which products can be returned, within what time and in what condition, who bears the transport cost, and how are a defective product and a manufacturer warranty handled?]]
14. Our staff acting on your behalf
For service purposes, one of our sales representatives or managers may act in the system on your behalf — building an order for you, submitting it, or amending it before delivery. Every such action is recorded with the identity of the member of staff who actually performed it, alongside the account they acted for.
When an order has been submitted for you by a representative, this is stated explicitly in the acknowledgement you receive. The order's status history is visible to you and shows who changed what and when.
If you do not recognise an order or a change made on your behalf, contact us and we will check it against the record.
15. Notices and communication
Operational messages — order acknowledgement, status change, order revision, an account invitation — are sent to your message inbox on the site and, at your choice, also by email or WhatsApp, in the language you have set. A message sent to the details you gave us counts as a notice delivered.
You must tell us of any change to an email address, telephone number or delivery address. These messages are service messages, not marketing.
16. Acceptable use
The site may be used for your own business's purchasing only. You may not harvest data from it by automated means (scanning, crawling, bulk export), attempt to reach another account's data, bypass price-visibility or permission limits, place excessive load on the service, or use it to build a competing catalogue or price list.
We operate rate limits, access controls and permission separation at database level. Attempting to circumvent them is a breach of these terms, and we may block access immediately.
17. Intellectual property and resale
The content on the site — the catalogue, the photographs, the descriptions, the design, the site's code and the trade marks — belongs to us or to our suppliers. You may use the product photographs and descriptions to market and sell products you have bought from us, provided you do not alter them misleadingly and do not remove brand marks. We may withdraw this permission at any time.
[[NEEDS OWNER: are there resale restrictions — sales territory, selling on online marketplaces, or a minimum resale price to consumers?]]
18. Availability of the service
We work to keep the site available, but we do not undertake that it will run continuously and without fault. We may update, change or temporarily take down parts of the service, including for maintenance. The site being unavailable does not reduce obligations agreed in a confirmed order.
19. Liability and its limits
We are responsible for supplying the goods confirmed on the order and for their conformity with it. We are not liable for indirect or consequential loss — including loss of profit, loss of a business opportunity or damage to reputation — arising from use of the site, a fault in it, or a delay in delivery.
[[NEEDS OWNER: what liability cap should be set — for example the amount actually paid for the order from which the loss arises?]]
Nothing here limits liability that cannot be limited by law.
20. Privacy
Information you give us and information about your use of the site are handled under our privacy policy, which forms part of these terms.
21. Changes to these terms
We may update these terms from time to time. The updated text is published on this page, and continued use of the service after it is published means you accept it. We will also give notice of a material change in your message inbox or by email.
[[NEEDS OWNER: what is the effective date of this version, and how should the "last updated" line read?]]
22. Governing law and jurisdiction
These terms and the commercial relationship between us are governed by the laws of the State of Israel alone.
[[NEEDS OWNER: the courts of which city or district are to have exclusive jurisdiction?]]
